TERMS AND CONDITIONS OF USE OF THE AdminRentist PLATFORM Single document applicable to Owners, End Clients (Guests), and Service Providers Last updated: August 2026 This document governs the access to and use of the AdminRentist platform (hereinafter, the "Platform") by its three user profiles: Owners, End Clients or Guests, and Service Providers (hereinafter, where appropriate, referred to as "User" and/or "Users"). For ease of reference, this document is structured into a General Part applicable to all Users and three sections containing specific terms for each profile. PART I. GENERAL PROVISIONS — APPLICABLE TO ALL USERS 1. Purpose This document (hereinafter, the "Terms") governs the access to and use of AdminRentist, a Software as a Service (SaaS) platform that provides a dual service: i. provides owners and managers of tourist or holiday accommodation with a comprehensive management tool for their activity —bookings, guests, incidents, documentation, and occupancy control—, including the necessary functionalities to facilitate compliance with traveler registration and reporting obligations required by applicable laws in each country; and ii. acts as a technological intermediation platform facilitating contact between Owners and third-party Service Providers (cleaning, maintenance, repairs, and similar) necessary for accommodation operations. AdminRentist does not operate, market, or lease accommodation, is not a travel agency or tour operator, and does not itself provide the cleaning, maintenance, or other services offered by Service Providers. Its role is limited strictly to providing the technology described in this document. 2. Service Provider Identification AdminRentist is a product operated by MEDITERRAN-IA, LTD, a private limited company incorporated in England and Wales under registration number 17245360, with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom (hereinafter, "AdminRentist", "we", or the "Company"). You can contact us at info@mediterran-ia.com. 3. Definitions • Platform: the software, website, and associated applications of AdminRentist. • Owner: the natural or legal person owning one or more accommodation units who acquires the license to use the Platform. • End Client or Guest: the person staying or intending to stay in a property managed via the Platform. • Service Provider: the natural or legal person providing maintenance, cleaning, or operational services for accommodation units and accessing the Platform to manage such services. • Account: the individual access profile of each User. • User: any Owner, End Client, or Service Provider. 4. Nature of the Platform and Technological Intermediation Role AdminRentist acts exclusively as a technological intermediary between the various Users. Specifically: (i) the tourist accommodation contract is concluded directly between the Owner and the Guest, without AdminRentist being a party thereto; and (ii) the service agreement (cleaning, maintenance, or other) is concluded directly between the Owner and the Service Provider, without AdminRentist being a party thereto or assuming any obligation arising from its performance. AdminRentist is limited to providing the technological tools allowing Users to manage these relationships, including the generation of documentation (check-in, pro forma invoices, among others). 5. Access, Registration, and User Account Access to certain functionalities of the Platform requires the creation of an Account. The User guarantees that the information provided during registration is true, accurate, and current, and undertakes to keep it updated. The User is responsible for maintaining the confidentiality of their login credentials and for all activities carried out under their Account. Registration and use of the Platform are strictly reserved for adults of legal age. By registering, the User declares and warrants that they are of legal age and possess the necessary legal capacity to accept these Terms and, where applicable, to enter into binding contracts on behalf of the entity they represent. 6. Acceptable Use of the Platform The User undertakes to use the Platform in accordance with the law, good faith, and public order, and not to use it for fraudulent purposes, to infringe third-party rights, or to introduce unlawful content. Prohibited behaviors are detailed in the Acceptable Use Policy, which forms an integral part of these Terms. 7. Intellectual and Industrial Property All intellectual and industrial property rights over the Platform, its software, design, trademarks, and content are the property of AdminRentist or its licensors. Access to and use of the Platform does not entail the transfer of any intellectual or industrial property rights, beyond the limited, non-exclusive, and non-transferable license necessary to use the service in accordance with these Terms. The User retains ownership of any content they upload to the Platform (including, but not limited to, property data and images, incident documentation, or quotes). However, by uploading content to the Platform, the User grants AdminRentist a limited, non-exclusive, royalty-free, and non-transferable license to store, reproduce, and display such content solely to the extent necessary to provide the service to the other Users involved in each relationship (relevant Owner, Guest, or Service Provider), without AdminRentist being permitted to use it for any other commercial or promotional purpose without the User's prior consent. We may revoke this license in the event of a material breach of these Terms by you. Under no circumstances does access to the Platform or use of the Services constitute an assignment of any intellectual and/or industrial property rights over the Platform or its content. 8. Personal Data Protection The processing of personal data carried out through the Platform is governed by the AdminRentist Privacy Policy, which forms an integral part of these Terms. AdminRentist acts as a data controller regarding data processed for the maintenance and security of the Platform, and as a data processor regarding data that Owners and Service Providers process concerning their Guests and contacts through it, pursuant to the applicable Data Processing Agreement. 9. Disclaimer and Limitation of Liability Without prejudice to the specific provisions of each subsequent section, AdminRentist shall not be liable for: (i) the quality, suitability, legality, or performance of accommodation services provided by Owners or services provided by Service Providers; (ii) damages, losses, or breaches arising from relationships between Owners, Guests, and Service Providers; (iii) compliance with tax, labor, or regulatory obligations incumbent upon each User in their own activity; or (iv) decisions made by Users based on information available on the Platform. Responsibility for Third-Party Data The Owner shall be responsible for their use of personal data belonging to Guests and Service Providers accessed through the Platform, and must process such data exclusively for accommodation management purposes in compliance with applicable data protection laws. AdminRentist shall not be liable for any improper, unlawful, or fraudulent use made by the Owner of such data. 22. Suspension and Termination of Owner Account The Owner may request the termination of their Account at any time through the Platform or by writing to info@mediterran-ia.com, with the effects set out in the subscription terms clause above. The Guest guarantees the accuracy of this data, which will be made available to competent authorities by the Owner where required by law. This data will be retained for the period required by applicable traveler registration laws and will not be used for any other purpose than those stated in the Privacy Policy. 25. Contractual Accommodation Relationship The accommodation contract is concluded exclusively between the Guest and the property Owner. AdminRentist does not participate in the contracting, does not set prices or stay conditions, and is not responsible for the quality, safety, availability, or suitability of the accommodation, acting solely as a technology provider facilitating check-in management and communication between the parties. 26. Processing and Transfer of Data to Owners and Service Providers The Guest consents to data provided on the Platform being made available to the accommodation Owner and, where applicable, to Service Providers involved in managing an incident, strictly for the purposes described in the Privacy Policy. 27. Specific Limitation of Liability AdminRentist shall not be liable for damages, losses, incidents, or breaches occurring during the stay, for the accuracy of information published by the Owner about the property, or for claims concerning accommodation service quality, which must be addressed directly to the Owner. 28. Access may occur via an invitation/link sent by an Owner, or via direct and voluntary registration by the Service Provider on the Platform. 30. Nature of Intermediation between Service Provider and Owner AdminRentist acts solely as a technological intermediary between the Service Provider and the Owner. The service contract (cleaning, maintenance, repairs, or others) is concluded directly between both parties; AdminRentist is not a party thereto, does not set prices or conditions, and does not intervene in service performance. 31. Service Provider Obligations The Service Provider guarantees that they possess the necessary qualifications, authorizations, and insurance required to perform the services offered via the Platform, and that the tax and banking details provided (including their IBAN) are accurate and up to date. 32. Pro Forma Invoicing and Financial Data The Platform allows the Service Provider to generate pro forma invoices addressed to the Owner for the collection of service fees. AdminRentist does not intervene in the actual collection of such invoices and assumes no liability for non-payment. 33. Specific Limitation of Liability AdminRentist shall not be liable for the quality, execution, or outcome of services rendered by the Service Provider, for disputes between the Service Provider and Owner arising from such services, or for the Service Provider's compliance with tax or labor obligations. 34.
